Зниження податкового навантаження

 

  • Ми виходимо з того, що податкова система не є засобом для державного тиску. Не держава стягує податки, а бізнес сплачує податки.
  • Податкове навантаження в Україні як частка податків до ВВП близький до середнього серед країн ЄС рівня. Як для країни,  що прагне швидкого економічного зростання, це занадто високе навантаження.
  • Ми почнемо зі скасування ПДВ та заміни його податком з продажів. ПДВ є одним з найбільш складних податків та найбільшим джерелом корупції. Податок з продажів, який буде братися як відсоток від виручки, орієнтовно 4%, є набагато більш прозорим та простим в адмініструванні.
  • Оскільки Україна є інтегрованою в світову економічну систему, де 135 країн застосовують ПДВ, який згодом відшкодовується при експорті, то для забезпечення рівних умов українським виробникам у порівнянні з іноземними, податок з продажу не буде стягуватись з експортної виручки, але натомість буде стягуватись з вартості імпорту.
  • Податок на прибуток підприємств буде встановлено на рівні 20%, він буде застосовуватись лише для корпоративних структур (у яких власники мають обмежену відповідальність).
  • Ми скасуємо всі пільги при сплаті податку на прибуток, але водночас приберемо обмеження щодо віднесення фактичних витрат на валові витрати.
  • Буде введено, за бажанням, прискорену амортизацію основних засобів.
  • Податок на доходи фізичних осіб буде встановлено на рівні 15% незалежно від розміру чи джерела отримання доходів. Така ж ставка буде застосовуватись до доходів нерезидентів.
  • Податок на доходи фізичних осіб буде сплачуватись з частини доходу, що перевищує мінімальний рівень оплати праці.
  • При продажу майна фізичними особами доходом буде вважатися різниця між ціною продажу та ціною придбання, а від’ємне значення доходу буде надавати право на зменшення податку з інших джерел доходів.
  • Соціальний податок з трудових доходів, який замінить усі види відрахувань (пенсійні, страхові по безробіттю, тощо) становитиме 20%. По мірі реформування пенсійної системи та переведення її від державної обов’язкової до недержавної накопичувальної цей відсоток буде зменшуватися.
  • Існуватимуть також акцизи на тютюнові та алкогольні вибори, бензин, тощо, які відіграватимуть соціальну роль.
  • Інші податки будуть скасовані. Також буде заборонено введення податків, прихованих під іншими назвами (обов’язкові збори, внески, тощо).

 

Спрощення адміністрування податків

  • Україна посідає 181 місце з 183 у рейтингу простоти сплати податків. Ми вважаємо це неприйнятним та ставимо за мету піднятися принаймні до 10 місця.
  • Частота сплати податків буде зменшена. Податки з продажу та прибутку підприємств будуть сплачуватися раз на квартал, а для малих підприємств — раз на рік.
  • Будуть скасовані складні форми податкових декларацій на багатьох сторінках з десятками додатків. Податкові декларації будуть містити лише дані, необхідні для визначення бази оподаткування та розміру податку. Вони будуть мати не більше 2-3 сторінок.
  • Подальші зміни до податкового законодавства, а також форм звітності, рахунків для сплати податків, тощо після здійснення необхідних системних реформ повинні будуть оприлюднюватися щонайменше за 6 місяців до введення в дію.
  • Підприємства та громадяни отримають право, а не обов’язок, подавати декларації у електронній формі.
  • Податківці не матимуть права накладати штрафи. У разі виникнення спірних питань щодо розміру податків вони пропонуватимуть вирішити їх у досудовий спосіб, і лише якщо це не вдається, подаватимуть до суду. Лише суд може винести обов’язкове для виконання рішення.
  • Штрафи будуть скасовані взагалі. Якщо суд підтвердить недоплату податків, підприємство чи фізична особа матимуть сплатити цю недоплату та процент за користування державними коштами, виходячи з поточних процентних ставок.
  • Податківці не матимуть права вилучати майно, у тому числі документи, чи іншим чином блокувати нормальний хід ведення бізнесу.
  • Податкова міліція буде розформована.
  • Будуть введені санкції до податківців, які безпідставно починають судові процеси, апеляції чи касації — вартість судових процесів буде відшкодована з оплати їхньої праці.

 

Спрощення митних процедур

  • Будуть введені лише чотири митних ставки — 1%, 2%, 5% та 10%.
  • Принаймні 80% обігу товарів будуть імпортуватися без сплати мита.
  • Загороджувальні митні ставки (5% та 10%) будуть застосовуватись до товарів, що складають не більше ніж 2% усього обігу.
  • Вичерпний перелік документів для розмитнення буде встановлено законом, митники не будуть мати права вимагати інші документи при розмитненні.
  • Розмитнення товарів при наявності усіх документів буде займати не більше 2 годин. Якщо розмитнення займає більший час, митник повинен видати письмовий документ із зазначенням причин затримки.
  • Використання цін на аналогічні товари буде скасовано. Мито буде стягуватись з цін, що вказані у контракті чи інших документах. Ми покладаємось на чесність підприємців, але митниця залишає право зв’язуватись з митними та податковими органами країн контрагентів, щоб перевірити правдивість вказаних цін.
  • При затримці розмитнення з будь-яких причин, окрім ненадання усіх необхідних документів, зберігання вантажу чи понаднормове перебування на території митниці буде безкоштовним, а вартість його буде відшкодована з оплати праці митників, з провини яких виникла затримка.

 

Скасування примусової стандартизації та сертифікації

  • Ми виходимо з того, що стандартизація та сертифікація — це добра справа лише тоді, коли це є вимогою ринку, а не держави.
  • Сертифікація буде суто добровільною справою бізнесу. Обов’язкова сертифікація буде збережена лише для харчової продукції та медикаментів.
  • Якщо товар був сертифікований у країнах з високим рівнем розвитку (таких як країни Організації з економічного співробітництва та розвитку — OECD), його повторна сертифікація в Україні не буде обов’язковою.
  • Ми будемо виступати за те, щоб стандарти розроблялися та приймалися не державними інститутами, а галузевими асоціаціями, та держава не мала впливу на цей процес. Стандартизація має стати внутрішньою справою та відповідальністю бізнесу.

 

Зменшення регулювання бізнесу

  • Вичерпний перелік усіх регулюючих та контролюючих органів, повноваження яких поширюються на невизначене коло осіб, буде надано в одному законі. Усі інші органи будуть позбавлені права регулювати чи контролювати бізнес і будуть виконувати лише властиві їм функції.
  • Податкова служба буде контролювати сплату податків.
  • Митна служба буде контролювати сплату мита.
  • Антимонопольний комітет буде контролювати збереження вільної конкуренції та недопущення зловживання монопольним становищем.
  • Екологічна інспекція буде контролювати безпечність викидів та відходів виробництва для екосистем.
  • Комісія з фондових ринків буде контролювати публічний випуск та обіг цінних паперів та регулювати питання публічної звітності їх емітентів.
  • Комісія з банків та кредитних установ буде контролювати кредитно-депозитні установи (банки, кредитні спілки, тощо) та регулювати їх діяльність. Ці повноваження будуть передані їй від Національного банку.
  • Національний банк не буде регулювати чи контролювати надання банківських послуг, він буде суто центром монетарної політики та банком банків.
  • Комісія з харчових продуктів та медикаментів буде контролювати безпеку цих продуктів для споживачів.
  • Комісія з захисту прав споживачів буде контролювати захист прав споживачів.
  • Усі контролюючі та регулюючі органи будуть позбавлені права стягувати штрафи. При виникненні порушення та неможливості урегулювати його у досудовий спосіб, вони мають подавати на порушника до суду.
  • Усі контролюючі та регулюючі органи будуть позбавлені права вилучати майно, у тому числі документи, чи у будь-який спосіб перешкоджати нормальному веденню бізнесу, за винятком випадків, коли це загрожує життю чи здоров’ю людини, або створює небезпеку техногенних катастроф.

 

Демонополізація та приватизація

  • Монополія є проблемою не сама по собі, а лише тоді, коли вона використовує своє положення для перешкоджання вільній конкуренції. Тому завданням Антимонопольного комітету є не боротьба з монополіями, а захист конкуренції.
  • У практиці Антимонопольного комітету будуть введені кількісні показники концентрації (індекс Herfindahl-Hirschman), за яким буде прийматися рішення про рівень конкуренції у галузі.
  • Антимонопольний комітет не буде контролювати ціни чи у інший спосіб намагатися керувати економікою, але він буде стежити за картельними угодами та іншими спробами утиску вільної конкуренції.
  • Природні монополії будуть вертикально розділені по схемі виробництво – транспортування – дистрибуція, при цьому у більшості сегментів можливо буде розбити монополії на декілька конкуруючих фірм. Монополіями залишаться лише транспортні мережі (ГТС, залізнична колія, електромережі).
  • Щодо природних монополії буде застосовано тарифне регулювання та принцип вільного доступу будь-яких виробників та споживачів за єдиної умови відповідності технічним характеристикам. З боку монополій будуть припинені цінова дискримінація чи штучні обмеження для окремих користувачів.
  • Інші частини колишніх державних монополій будуть приватизовані.
  • Будуть приватизовані усі інші державні підприємства, за винятком тих, що безпосередньо обслуговують потреби публічних інституцій.
  • Приватизація відбуватиметься на прозорих публічних аукціонах, усі умови та хід яких буде загально доступними та висвітлюватиметься наживо у мережі Інтернет.

 

Спрощення відкриття, закриття та ведення бізнесу

  • Буде введено справжній принцип єдиного вікна: громадяни подають документи до державних органів один раз, а весь внутрішній документообіг між органами влади є відповідальністю цих органів.
  • Кожному підприємству буде надано один-єдиний реєстраційний номер, який воно застосовуватиме в усіх держаних органах, замість безлічі номерів та кодів, які існують зараз.
  • Закриття бізнесу за відсутності вимог по його зобов’язаннях буде автоматичним через 6 місяців після подання заяви. Власникам бізнесу не потрібно буде ходити до багатьох державних установ за довідками.
  • Не власник буде доводити відсутність претензії до нього з боку державних органів, а ці органи можуть висунути свої вмотивовані претензії та у разі їхнього незадоволення подавати до суду (презумпція невинуватості поширюється на сферу оподаткування).
  • Процедуру банкрутства буде змінено за прикладом Грузії: суддя стежитиме за додержанням процедури банкрутства, а прийняття рішень по суті санації чи ліквідації буде здійснюватися шляхом діалогу між власниками та кредиторами.
  • Буде скаcована обов’язковість використання печатки. Використовувати печатку чи ні буде суто добровільним вибором підприємств.
  • Будуть скасовані вимоги щодо обов’язкових внутрішніх документів при веденні бізнесу (наказів, звітів, тощо). Увесь внутрішній документообіг буде справою бізнесу, у яку держава не втручається.
  • Також будуть ліквідовані усі інші залишки втручання держави у внутрішні справи бізнесу, серед яких – ліміти касових залишків чи нормування витрат на відрядження.

 

Лібералізація зовнішньоекономічної та інвестиційної діяльності

  • Курс гривні до іноземних валют буде визначатися лише попитом та пропозицією. Жодного офіційного курсу не існуватиме.
  • Буде скасовано валютне регулювання. Усі особи зможуть вільно купувати, продавати, зберігати, перераховувати будь-яку валюту на будь-які рахунки.
  • Будуть скасовані обмеження на відкриття рахунків у іноземних банках та інших установах.
  • Будуть скасовані усі обмеження щодо ввезення чи вивезення готівкової валюти.
  • Ми ліквідуємо усі штучні обмеження чи преференції при інвестуванні в Україну. Усі інвестори — зовнішні та внутрішні, — будуть працювати у рівних умовах.
  • Не буде різниці між зовнішньоекономічною та економічною діяльністю всередині України, вони будуть здійснюватись за однаковими правилами.
  • Форми обов’язкової звітності будуть мати текстові елементи українською та англійською мовами. Усі нормативно-правові акти будуть поступово перекладатися англійською та розміщуватися в мережі Інтернет.
  • Фондові біржі та інші агенти публічного фондового ринку отримають широку автономію у створенні фінансових інструментів (ф’ючерсів, опціонів, тощо), хоча деякий регуляторних вплив Комісії з фондового ринку буде збережено.

 

Реформа трудових відносин

  • Ми ліквідуємо спадщину радянських часів у  вигляді бюрократизації та фальшивих обіцянок гарантій у трудовому законодавстві.
  • Будуть відмінені трудові книжки, кадровий документообіг. Саме поняття прийняття чи звільнення за наказом директора залишиться у минулому.
  • Основою регулювання трудових відносин буде індивідуальний контракт між роботодавцем та працівником.
  • Роботодавець та працівник є рівноправними сторонами переговорів. Хоча можуть існувати типові форми контрактів як з боку роботодавця, так і з боку об’єднання працівників, кожен окремий контракт є індивідуальним і сторони не зобов’язані враховувати в ньому положення типових трудових контрактів.
  • Держава регулюватиме законодавчо лише деякі аспекти праці неповнолітніх або осіб з обмеженою дієздатністю.
  • Хоча у законодавстві можуть бути прописані рекомендовані норми щодо тривалості робочого дня, тижня, відпустки, періоду повідомлення про звільнення, тощо, ці норми не будуть обов’язковими. Індивідуальний контракт завжди матиме пріоритет.
  • Професійні спілки не матимуть монополії на відстоювання інтересів працівників. Вони можуть існувати на тих самих умовах, що й інші об’єднання громадян.
  • Усі трудові спори між роботодавцем та працівником є окремим випадком цивільно-правових спорів між сторонами угоди, та вирішуються як усі інші цивільно-правові спори.

 

Введення загального електронного реєстру прав власності

  • Реєстрація прав власності на акції (крім публічних товариств, щодо яких це здійснюють реєстратори), інших корпоративних прав, прав власності на нерухомість та деяке рухоме майно буде централізовано у єдиному електронному реєстрі.
  • Громадяни матимуть за бажанням право внести до реєстру дані про рухоме майно, обов’язковість реєстрації якого не передбачена.
  • Права власності не виникають чи не зникають через наявність чи відсутність запису у реєстрі, але реєстр слугуватиме для швидкої перевірки цих прав.
  • Зміни до реєстру вносяться за наявності документів, що підтверджують особу та її право власності протягом 15 хвилин.
  • Відстеження усіх змін реєстру та персональна матеріальна відповідальність осіб, що вносять зміни до реєстру.
  • Реєстр буде мати відомості щодо прав власності на акцій приватних акціонерних товариств та часток (паїв) партнерств. При публічному розміщенні акції приватних товариств вони матимуть перевести цю інформацію до реєстратора відповідно до чинного законодавства.

 

Приведення організаційно-правових форм у відповідність до потреб сучасності

  • Замість архаїчних організаційно-правових форм будуть введені три — приватні підприємства, партнерства та корпорації (акціонерні товариства).
  • Не буде різниці у форматі роботи приватним підприємством (підприємцем), самозайнятою особою чи фізичною особою за цивільно-правовою угодою —весь прибуток оподатковується як дохід особи-власника.
  • Партнерства будуть мати можливість працювати без створення юридичної особи та не оподатковуватись на рівні підприємства – весь прибуток оподатковується як дохід осіб-власників.
  • Буде скасовано законодавче розділення на публічні та приватні акціонерні товариства. Публічність акціонерного товариства буде визначатися фактом публічного розміщення акцій, а не назвою.
  • Розміщення акцій приватних акціонерних товариств не потребуватиме реєстрації у Комісії з фондових ринків. Реєстрація таких акцій буде здійснюватись у такий спосіб, як і реєстрація інших прав власності.
  • Товариства з обмеженою відповідальністю, які наразі де-факто є приватними корпораціями, будуть переформовані у приватні акціонерні товариства.
  • Буде скасовано вимоги до статутного капіталу.
  • Ми ліквідуємо штучні обмеження прав акціонерів публічних акціонерних товариств. Вони самі зможуть розподіляти повноваження між загальними зборами, радою директорів (наглядовою радою) та менеджментом (правлінням). Вони також зможуть вирішувати, як та у якій формі сплачувати дивіденди (у тому числі не грошові) та здійснювати зворотній викуп акцій.
  • Деякі найкращі практики корпоративного управління у публічних акціонерних товариствах будуть закріплені законодавчо: кумулятивне голосування, вимоги щодо більшості у керівництві незалежних директорів, наявність незалежних від менеджменту бюджетного, компенсаційного та номінаційоного комітетів, наявність незалежного від менеджменту внутрішнього аудиту тощо.

Minimal impact of the government.

We believe that the government control of the economy is inferior to the market self-control. Public employees do not bear risks, take no responsibility of the results, their well-being is not related to the efficiency and success of managing the economy, whereas those in private sectors personally participate in the success of the business and pay their own money for the failures. That’s why government control is an activity performed by those who bear no responsibility, take no risks, and their mistakes are paid by others. On the other hand, the government officials are not rewarded by their good job materially, so they have significant incentives of getting unofficial remuneration such as bribes, kick-backs, which lead to an increase in corruption.

 

Market self-regulation and free competition.

We are certain that regulation performed by any single person or a group of persons will always be subjective, will create conflict of interests, and will lead to being done in self-interests of those people, but not in the interests of general public. Market self-regulation is objective and doesn’t give a priority to interests of any particular persons. Under the free competition they will maximize the total wealth of the society and set prices at the level that ensures the optimal balance of interests of the consumers and the producers.

 

Equal possibilities.

We believe that all persons should have equal possibilities. It is the foundation of free competition. It stimulates innovations. When some people have privileges, while others are constrained by administrative barriers, the former lose incentives to work efficiently or product quality products and the latter lose incentive to invest their money, energy and knowledge, and those resources are lost to the society.

 

Ability to be competitive when complying with the law.

We are sure that people generally want to be honest and comply with the law. However, if they are put in such conditions that complying with the law means to be disadvantaged and lose the competition, they either will stay out of business or engage in unofficial activities. In the former case, there will be an adverse effect in the economic growth, government will not receive taxes, and unemployment will increase. In the latter case, there will be significant unproductive costs of creating schemes of doing business unofficially and fighting with them. Instead of taxes people will pay bribes, instead of legal labor contracts there will be unofficial salaries, which results in lack of confidence between employees and employers, instead of being sure of their future and saving for retirement people will seek possibilities to invest into other countries with more predictable future.

 

Public capital markets and separation of corporate management and owners.

We think that the Anglo-American system of public capital market is better than the German system of bank financing or the Japanese keiretsu system. It gives people the possibility of direct (through shareholding) or indirect (through pension and mutual funds) owning the significant part of the economy. It prevents the concentration of ownership in hands of a small group of individuals or legal entities. It reduces the risk of creating oligarchic groups and interrelating business and politics. It also increases the transparency of the market, because nobody possesses the dominant position and the checks and balances system is in place.

Ukrainian Alternative

The Economic Program

 

  1. Reducing the tax burden
    • The tax system should not be a means for the government to put pressure on business. Focus will be not on the government imposing taxes, but on business paying them.
    • The tax burden inUkrainemeasured as the taxes collected as percentage in the GDP is close to the EU average level. It’s too much for a country that desires the above-average economic growth.
    • We will cancel the VAT and replace it with the sales tax. VAT is one of the most complicated taxes and the largest source of corruption. Sales tax, which will actually be a tax on sales revenue, set at the level about 4%, is much more transparent and much simpler in administering.
    • SinceUkraineis integrated into the world economy and 135 countries use VAT, which is reimbursed on export, in order to put Ukrainian exporters on the same ground the sales tax won’t be levied on exports revenue and will be levies on the imports instead.
    • Corporate income tax will be 20%, and it will be levied only on the corporations (defined as legal entities that provide limited liability to owners).
    • We will quit all privileges set for the corporate income tax, and at the same time will quit any limitations on tax deductibility of actual expenses.
    • Accelerated depreciation methods will be allowed.
    • Personal income tax will be 15% flat rate, regardless to the source of income. The same rate will be used to the income of non-residents.
    • Personal income tax will be imposed on the amount of income exceeding the minimal wage.
    • In case of selling personal property the income will be calculated as the difference between the selling and the buying price, and the negative income will be used as the tax credit to reduce income tax on the other sources of income.
    • Social tax on labor income will replace all taxes and duties (pension, unemployment insurance, etc.) and its rate will be 20%. As the pension reform advances to the stage when non-government pension funds will take larger share, the social tax rate will be decreased.
    • Excise tax will be imposed only on the socially dangerous goods such as alcohol, gasoline, tobacco, etc.
    • All other taxes will be cancelled. It will be prohibited to disguise taxes by using other names such as duties, fees, etc.
  2. Simplifying the tax administering
    • In 2011 Ukrainewas ranked 181 of 183 inDoing Business rating on the simplicity of paying taxes. We find it unacceptable and see ascending to the 50th place as our goal.
    • Tax payments will become less frequent. Corporate income tax will be paid quarterly, and small business will pay it annually.
    • Complicated forms of tax reporting will be simplified. Tax declaration will contain only those fields that are really necessary to calculate the taxable amount and the tax payable. They should never have more than 2-3 pages.
    • After finishing the reform, further changes to tax laws, reporting forms, accounts for paying taxes and so on will have to be published at least 6 months before they come into effect.
    • Firms and individuals will have the right, but not the obligation, to report in electronic form.
    • Tax officials will be deprived the right to fine. Any disagreements regarding the amount of taxes paid should be resolved by negotiations first, and only if they are unsuccessful the tax official can start a lawsuit. Only the court can issue an enforcing act.
    • Fines will be cancelled at all. If the court finds the underpayment of taxes, a firm or a person will have to pay the amount underpaid and interest on it based on the current interest rates.
    • Tax officials won’t have the right to seize property, including documents, or block the normal business operations in any other way.
    • Tax police will be disbanded.
    • Tax officials who start groundless lawsuits or appeals will have to reimburse their costs out of their own salary.
  3. Simplifying the customs procedures
    • There will be only four customs duty rates — 1%, 2%, 5%, and 10%.
    • At least 80% of goods will be imported without a customs duty.
    • Protective customs duty rates (5% and 10%) will be used for goods that account for no more that 2% of the total imports.
    • Exhaustive list of all documents required for customs clearance will be set by the law, customs officials will have no right to demand any other documents for clearance.
    • Customs clearance will take no more than 2 hours if all the documents are provided. If the clearance takes more time, the customs official will have to issue a written document indicating reasons for the delay.
    • Using prices for similar goods for setting the duty will be cancelled. The duty will be levied based on the invoice or contractual prices. We will rely on honesty of the business, but the customs will retain the right to get in touch with customs of other countries to check the prices indicated in the documents.
    • If the customs clearance is delayed for any reasons besides missing documents, storage of the goods will be free of charge for the business and the costs will be deducted from the salary of the customs officials who delayed the clearance.
  4. Cancelling the mandatory standardization and certification
    • We believe that standardization and certification are good as long as they are demanded by the market, not by the government.
    • Certification will be voluntary for the business. Mandatory certification will be retained only for food and medicines.
    • If a product was certified is more developed countries (such as OECD members), additional certification inUkrainewill not be required.
    • We will support the idea that standards should be developed and approved not by the government and its agencies, but by industrial associations, and the government should not intervene into the process. Standardization should be internal affair of the business, and the business should take the responsibility.
  5. Reducing regulation of business
    • Exhausting list of all government bodies with authority to regulate legal entities in general will be listed in a single act. All other bodies will be prohibited from regulating business in general.
    • Tax service authority will be limited to collecting and checking tax payments.
    • Customs service authority will be limited to collecting and checking customs duties and preventing counterfeit products from passing the customs border.
    • Antimonopoly committee will only ensure that no market participant is using its monopoly position to diminish free competition or form a cartel structure.
    • Ecology service will check that business doesn’t harm natural resources.
    • Stock market commission will check public securities issues and exchange and regulate public reporting of the issuers.
    • Bank and credit institutions commission will check credit-deposit institutions (banks, credit unions, etc.) and regulate their activities. These authorities will be transferred to this governmental agency from the National bank.
    • National bank will no longer be a regulatory or control body; it will only retain functions of the monetary policy center and the lender of last resort.
    • Consumer rights protection commission will check that consumer rights aren’t violated.
    • No control or regulatory body will have the right to fine. In case any violation is found and it can’t be resolved through negotiations, the lawsuit will be started and the fine can only be charged by the court.
    • No control or regulatory bode will have the right to seize any property, including documents, or in other way block the normal course of business, except when it puts life or health of people to danger or threatens to cause a major accident.
  6. De-monopolization and privatization
    • Monopoly isn’t dangerous by itself, but rather it’s dangerous when it’s using its market power to diminish free competition. Thus, the Anti-monopoly committee will not fight the monopolies but will focus on protecting competition.
    • Anti-monopoly committee will use quantitative indicators such as the Herfindahl-Hirschman index to make decisions.
    • Anti-monopoly committee will not control prices or try to engage into controlling the economy in any way, but will be monitoring the market for cartel structures and other ways of diminishing free competition.
    • Natural monopolies will be vertically split (production – delivery – distribution), and the majority of segments will operate in a competitive environment. Other a limited number of firms will act as a monopoly (gas/oil pipelines, railway, and power lines).
    • Remaining natural monopolies will subject to rate regulations and be required to provide an single rules for accessing their services for all customers provided the technical requirements are met. Any price discrimination or artificial access constraints will not be tolerated.
    • Any other parts of natural monopolies owned by the state will be privatized.
    • Any other state owned enterprises will be privatized, except those supporting the public service operations.
    • Privatization will be done through the transparent public auctions, all terms and course of which will be published on the Internet.
  7. Simplifying registration, closure and doing business
    • We will establish “single window” principle: persons use the single window to submit all papers to the public service, and all the paperwork between different public service agencies should be done internally and persons should never care for it.
    • Any business enterprise will have a single registration number to be used in all public service bodies instead of multitude of codes and number used now.
    • Closure of the business will occur automatically after 6 months after notice issued by the owner in case third parties have no unresolved claims to the business. Owner will not have to gather many different certificated from the public service agencies.
    • It will not be the owner’s obligation to prove the business owe nothing to the government, but the public service will have to prove there’re motivated claims to the business and resolve them in the court.
    • Bankruptcy procedure will be changed as it’s done in Georgia: the judge will oversee the procedure, but the decisions in the matter of revitalizing or liquidating the business will be subject of negotiation between the owner and the creditors.
    • Mandatory usage of stamps will be cancelled. It will be a decision of each enterprise whether to use stamps or to do without them.
    • Practice of government enforced forms of internal business documentation (such an orders, reports, etc.) will be cancelled. All matters of the internal paperwork will be internal affair of the business, and the government will not engage into it.
    • All the remaining forms of government intervention into internal affairs of the business will be abolished, such as cash limits or limits of business trips compensation.
  8. Liberalization of international trade and investments
    • Exchange rate of Ukrainian hryvna to other currencies will be determined by the supply and demand. No official rate set by the government will exist.
    • Practice of government control of cash flows from abroad will be eliminated. All persons and businesses will be able to freely buy, sell, store, transfer any currency to any accounts.
    • Prohibition to open accounts in foreign banks and other institutions will be abolished.
    • All limits to bring cash in or out of Ukraine will be cancelled.
    • We will put an end to all artificial barriers and privileges to investments in Ukraine. All investors, both domestic and foreign, will have the same rights.
    • There will be no difference in trading domestically or internationally, all trade and business rules will be the same.
    • All mandatory reporting forms will have captions in Ukrainian and English. All legal and regulatory acts will be gradually translated into English, and newly accepted acts will have to be translated and publish in the Internet.
    • Stock exchanges and other agents of the public stock market will have autonomy in creating financial instruments (futures, options, etc.), however some regulation by the Stock market commission will be retained.
  9. Reforming the labor relations
    • We will eliminate the Soviet times heritage in bureaucratization of labor relations and cancel false promised implied in the labor law.
    • All “labor books” and government-enforced labor paperwork will be abolished. There will no longer be the practice when only one party (the employer) makes the decision and the employee will submit to it.
    • Labor relations will be two-sided and governed by an individual labor contract between the employer and the employee.
    • Employer and employee will have equal rights in negotiating the terms of the contract. While model contracts may exist both at the employer and at the union of employees, each contract will be individual and the parties won’t have to follow any model contract.
    • The government will regulate only some aspects of labor for people younger than 18 years or disabled persons.
    • While some recommendations will be set in the labor laws, such as normal working day duration, vacations, termination notification period, etc., those will not be mandatory. The terms of an individual contract will have priority.
    • Trade unions will have no monopoly on representing interests of the employees. Trade unions will have the same rights as any other unions of citizens.
    • All conflicts between employers and employees will be a particular case of the civil dispute between two parties, and will be resolved just like any other dispute – by negotiations or by the court.
  10. Introducing the general register of property rights
    • Property rights to shares (except for the public corporations which are working through registrars), other corporate property rights, property rights to real estate and selected movables will be tracked in the centralized property rights register.
    • Persons will be allowed to enter information about property rights to other movables into the register, even if the movables don’t require mandatory tracking of the rights.
    • Property rights will not appear or disappear because of the records in the register, the register will only be used for checking the rights in a quick way.
    • Any changed to the register should be done in no more than 15 minutes if all the supporting documents are presented.
    • All the changed to the register will be covered by the full personal liability of the public servants authorized to maintain the register.
    • The register will track property rights information for shares of private corporations and stakes in the partnerships. When a private company goes public, it will have an option to transfer share record-keeping to a registrar according to the acting law.
  11. Modernization of business organization forms
    • Instead of archaic organization forms developed in post-Soviet era there will be introduced three forms, private enterprises, partnerships and corporations.
    • There will be no difference in working as a sole proprietor of the private enterprise, a self-employed person or an individual working on a contract. All the income will be taxed as personal income of the individual.
    • Partnerships will have an option to working without creating a separate legal entity. In this case their income will be taxed as personal income of their partners.
    • There will be no longer to distinct types of corporations, public and private. Both will legally be the same organization form, but their public status will be determined by the fact of public listing of the shares.
    • Share issues by private corporations will not have to be registered in the Stock market commission. Their registration will only be done in the property rights register as for any other private property rights.
    • Limited liability companies, which now are de-facto private corporations, will be changed to private corporations.
    • Requirements for the minimal capital stock will be abolished.
    • Artificial requirements imposed by the government on the shareholders of public corporations will be eliminated. The shareholders will decide on the authority of the shareholder meeting, the board of directors and the management themselves. They will also be able to make any decisions on dividend policy and share repurchases.
    • Some best practices of corporate governance will be legally enforced for public corporations, such as cumulative voting, majority of independent board members, independent budget, compensation and nomination committees, independent internal audit, etc.

    Від такоїпрограми, вже при першому ознайомленні, голова йде обертом. Не програма, а мрія. На жаль, проти такої програми будуть в “ополченні” всі цьогочасні “державні мужі”. Хочу жити в державі з такою програмою дій уродових структур.

    Я не економіст. Просто стараюся міркувати логічно й етично. Я за прогресивне оподаткування. Розумієте, в суспільстві важлива робота кожного. Але якщо складається так, що ми не звикли однаково високо цінувати працю кожного, то це потрібно якось врівноважити. Інакше праця стане неякісною. А люди – злішими. Я боюсь, я практично впевнена, що трудові контракти, нерегульовані законодавством, приведуть до рабства. В періоди криз і безробіття так точно. Список товарів, що підлягають сертифікації, я би розширила за рахунок тих, які можуть впливати на здоров’я і безпеку життя: дитячі речі, посуд, матеріали для меблів, обладнання житла тощо. “Якщо товар був сертифікований у країнах з високим рівнем розвитку (таких як країни Організації з економічного співробітництва та розвитку — OECD), його повторна сертифікація в Україні не буде обов’язковою” – це апріорі передбачає, що стандарти тієї країни вищі за наші, а якщо щодо якогось конкретного товару це не так?
